Hyperscience is looking for an energetic and experienced Counsel to join our legal team and support our ambitious corporate and commercial growth plans for our business. Counsel will report directly to our VP of Legal be involved in all aspects of delivering legal services to the company. They will also work collaboratively with members of the sales, operations, marketing, corporate development, and finance teams to understand and ensure consistency of agreement terms with the company’s business, financial and risk
management objectives.
Compensation
The target base compensation range for this role: $160,000 - $190,000.  Actual compensation will be dependent upon the individuals skills, experience, qualifications, geographical location, and our business needs and objectives.  Our overall compensation packages include base salary, equity and the benefits and perks listed below.     • Draft, review and negotiate a broad range of commercial agreements, including end user licenses, SaaS software licenses, SOWs, and strategic partnership and software reseller agreements
    • Provide legal support for the maintenance of the Company’s subsidiaries and for corporate transactions, including any debt or equity transactions undertaken by the Company
    • Assist with mergers and acquisitions and other strategic transactions in all stages, from performing due diligence, drafting and negotiating term sheets and definitive transaction documentation, and supporting closing transactions and post-closing integration.
    • Prepare and maintain corporate records, including administration of the Company's capitalization table in Carta
    • Draft and assist with the preparation of board and committee meeting materials
    • Assist in the oversight of outside legal counsel
    • Assist with preparation of legal learning materials and presentations to internal stakeholders
    • Participate in driving continuous improvement in Legal Operations to create efficient, scalable processes
    • Strong academic credentials are a must
    • 3+ years of legal experience required; at least two years of in-house experience at a cloud-based software company and/or advising external clients on commercial technology transactions highly preferred
    • Experience drafting and review documents related to corporate formation and governance documents, venture capital financings, equity compensation plans, including corporate resolutions, board minutes, stock option agreements, and restricted stock award agreements
    • Experience advising corporate clients on key aspects of tech transactions, licensing arrangements, and/or strategic partnerships
    • M&A, joint venture, and/or venture capital financing experience
    • Willingness and ability to work autonomously with limited direction to drive high value projects to completion
    • High emotional intelligence and ability to communicate confidently, with a knack for explaining complex legal concepts to non-lawyers in plain English
    • Friendliness, flexibility, and a sense of humor and resiliency when managing multiple priorities and working under tight deadlines
    • Admission to practice in New York or California
    • Strong interest in helping companies adopt enterprise technologies, particularly AI and Machine Learning
    • Knowledge of IDP, RPA, and adjacent spaces is a strong plus
    • Familiarity with U.S. and EU data privacy laws is ideal
    • Language skills sought-after and relevant, especially French, German, Spanish, Dutch, Russian and Arabic
    • Experience with procurement for state/federal agencies, and/or federal security clearance very valuable
    • Prior experience or knowledge of labor and employment law and/or related compliance issues is relevant
    • Proficiency with Ironclad, Carta, Salesforce, advanced Excel functions, and Google suite an advantage
    • Demonstrated commitment to team excellence and advancing ethics and equity in the legal profession
    • Additional state bar or patent bar admission a plus
    • Clerkship experience appreciated
