Summary of the Role:

Title: Senior Commercial Counsel

Purpose: The Senior Commercial Counsel will be responsible for providing legal support for the company's commercial activities, including negotiating and drafting contracts, advising on compliance issues, and identifying and managing legal risks.

Key Responsibilities:

Negotiating and drafting commercial contracts, including software license agreements, service agreements, and NDAs.

Advising the company on compliance with laws and regulations related to commercial activities, including data privacy and data security laws.

Identifying and managing legal risks associated with the company's commercial activities, including conducting legal due diligence on potential partners and customers.

Providing guidance to the sales team on legal issues related to the sales process, including pricing and discounting, terms and conditions, and other key commercial terms.

Collaborating with other members of the legal team and other departments within the company to ensure that the company's commercial activities are conducted in compliance with all applicable laws and regulations.

Staying current on legal and regulatory developments related to the company's commercial activities, and providing regular updates and training to other members of the company.

Qualifications:

A J.D. degree from an accredited law school and membership in good standing in at least one state bar

A minimum of 7 years of legal experience, with a focus on commercial contracts and compliance

Strong negotiation and drafting skills, as well as the ability to provide clear and actionable legal advice

A solid understanding of data privacy and data security laws

Excellent communication and collaboration skills

Strong analytical skills and attention to detail

Experience in the SaaS or technology industry

International legal experience or understanding is a plus

Ability to work in a fast-paced, high-growth startup environment.

The Senior Commercial Counsel will be the first in-house legal hire.
Compensation
Our current base pay range for new hires in this role is:
$175,000 - $250,000
Within the range, base pay is ultimately determined based on your skills, expertise, and experience and also geographic location. This role will also be eligible for equity compensation and health benefits.
